Agreement to Terms
By accessing or using catalog.fm (the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use the Service.
These Terms constitute a legally binding agreement between you and catalog.fm. We reserve the right to modify these Terms at any time, and your continued use of the Service constitutes acceptance of any changes.
Description of Service
catalog.fm is a subscription-based music streaming platform dedicated to independent artists. We use a user-centric payment model, meaning your subscription fees are distributed directly to the artists you actually listen to. The Service allows users to:
- Stream music from independent artists
- Discover new music through human curation
- Purchase digital albums and tracks
- Create and manage playlists
- Follow artists and receive updates
We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time without prior notice.
User Accounts
Eligibility:
You must be at least 13 years of age to use the Service. If you are under 18, you represent that your parent or legal guardian has reviewed and agreed to these Terms on your behalf. By creating an account, you represent and warrant that you meet these eligibility requirements.
Account Creation:
To access certain features of the Service, you must create an account. You may only create one account per person. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate, current, and complete.
Account Security:
You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.
Account Termination:
We reserve the right to suspend or terminate your account at any time for any reason, including violation of these Terms, without prior notice or liability.
Subscriptions and Payments
Subscription Plans:
catalog.fm offers subscription-based access to the Service. Subscription fees are billed on a recurring basis according to your chosen plan (monthly or annual).
Payment Processing:
By providing payment information, you represent that you are authorized to use the payment method provided. You authorize us to charge your payment method for all fees associated with your subscription.
Automatic Renewal:
Your subscription will automatically renew at the end of each billing period unless you cancel before the renewal date. You may cancel your subscription at any time through your account settings.
Refunds:
Subscription fees are non-refundable except as required by law. If you cancel your subscription, you will continue to have access to the Service until the end of your current billing period.
Price Changes:
We reserve the right to change subscription prices at any time. Price changes will be communicated to you in advance and will take effect at the start of your next billing period.
User-Centric Payment Model
catalog.fm operates on a user-centric payment model. Unlike traditional pro-rata streaming platforms, your subscription fees are distributed directly to the artists you listen to, proportional to your individual listening activity.
How It Works:
- Your subscription fee is allocated based on your personal listening activity during each payout period
- Artists receive a share of your subscription proportional to how much you listened to their music
- Payout calculations are performed after the end of each payout period, subject to a processing period
Transparency:
We are committed to transparency in how artist payouts are calculated. Aggregated listening data and payout information may be shared with artists in accordance with our Privacy Policy. Individual listener data shared with artists is anonymized where appropriate.
Content and Intellectual Property
Ownership:
All content available through the Service, including music, artwork, text, graphics, logos, and software, is owned by catalog.fm or our content providers and is protected by copyright, trademark, and other intellectual property laws.
Limited License:
Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable license to access and use the Service for personal, non-commercial use only.
Restrictions:
You agree not to:
- Copy, modify, distribute, or create derivative works from any content available through the Service
- Use any automated system to access the Service
- Circumvent any technological measures used to protect the Service or content
- Remove or alter any copyright, trademark, or other proprietary notices
Artist Content:
Artists who upload content to catalog.fm retain ownership of their content. By uploading content, artists grant catalog.fm a worldwide, non-exclusive license to use, reproduce, distribute, and display the content in connection with the Service. Artists are additionally bound by the Artist Agreement, which governs content licensing, payouts, and content policies in detail.
User Content:
You may submit content such as playlists, comments, and reviews. By submitting content, you grant catalog.fm a worldwide, non-exclusive, royalty-free license to use, reproduce, and display such content in connection with the Service.
User Conduct
You agree to use the Service in compliance with all applicable laws and regulations. You agree not to:
- Violate any laws or regulations
- Infringe on the rights of others
- Harass, threaten, or abuse other users
- Upload or transmit viruses or malicious code
- Spam or send unsolicited messages
- Impersonate any person or entity
- Interfere with or disrupt the Service or servers
- Collect user information without consent
AI-Generated Content
Fully AI-generated music is not permitted on catalog.fm. Content that incorporates AI-assisted elements (such as AI-assisted mixing, mastering, or partial composition) may be permitted on a case-by-case basis and must be disclosed during upload. catalog.fm reserves the right to update this policy as community standards and industry practices evolve.

DMCA and Copyright
catalog.fm respects the intellectual property rights of others and expects our users to do the same. We comply with the Digital Millennium Copyright Act (DMCA) and will respond to valid notices of alleged copyright infringement.
Filing a DMCA Notice:
If you believe that your copyrighted work has been copied in a way that constitutes copyright infringement, please provide our designated copyright agent with the following information:
- A physical or electronic signature of the copyright owner or authorized agent
- Identification of the copyrighted work claimed to have been infringed
- Identification of the material that is claimed to be infringing, with enough detail to locate it on the Service
- Your contact information (address, telephone number, and email address)
- A statement that you have a good faith belief that the use is not authorized by the copyright owner, its agent, or the law
- A statement, under penalty of perjury, that the information in the notice is accurate and that you are the copyright owner or authorized to act on their behalf
Counter-Notice:
If you believe that your content was removed or disabled by mistake or misidentification, you may submit a counter-notice to our designated copyright agent with the required information under the DMCA. Upon receipt of a valid counter-notice, we will forward it to the original complainant and restore the removed content within 10-14 business days unless the complainant initiates legal action.
Repeat Infringers:
We reserve the right to terminate the accounts of users who are determined to be repeat infringers of copyright. We may also, in our sole discretion, limit access to the Service or terminate the account of any user who infringes any intellectual property right of others, whether or not there is any repeat infringement.

Termination
We reserve the right to suspend or terminate your access to the Service at any time, with or without cause, with or without notice. Upon termination, your right to use the Service will immediately cease.
You may terminate your account at any time by contacting us or through your account settings. Upon termination by either party, you will no longer have access to any content or data associated with your account.
Disclaimers and Limitations
Service "As Is":
The Service is provided "as is" and "as available" without warranties of any kind, either express or implied. We do not warrant that the Service will be uninterrupted, secure, or error-free.
Limitation of Liability:
To the fullest extent permitted by law, catalog.fm shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses.
Maximum Liability:
Our total liability to you for any claims arising from or related to the Service shall not exceed the amount you paid to us in the twelve (12) months preceding the claim.
Digital Purchases
Purchasing Content:
In addition to subscription access, you may purchase individual albums or tracks for permanent download. All purchases are final and non-refundable except as required by law.
Download Access:
Purchased content will be available for download through your account. You are responsible for backing up your downloaded content. We are not responsible for any loss of purchased content.
License:
Purchased content is licensed, not sold, to you for personal use. You may not redistribute or sell purchased content. Public performance of purchased content (such as DJ sets or live events) is permitted.
Privacy and Data
Your privacy is important to us. Our Privacy Policy explains how we collect, use, and protect your personal information, including your rights under GDPR and CCPA. By using the Service, you agree to our collection and use of information as described in the Privacy Policy. The Privacy Policy is incorporated into and forms part of these Terms.
We use industry-standard security measures to protect your data, but we cannot guarantee absolute security. You acknowledge that you provide your information at your own risk.
Changes to Terms
We reserve the right to modify these Terms at any time. We will notify you of material changes by email and by posting the updated Terms on the Service with a revised "Last Updated" date. Where practicable, we will provide at least 30 days' notice before material changes take effect.
Your continued use of the Service after any changes to these Terms constitutes your acceptance of the new Terms. If you do not agree to the modified Terms, you must stop using the Service.
Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the State of New Jersey, United States, without regard to its conflict of law provisions.
Any disputes arising from or relating to these Terms or the Service shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, except where prohibited by law. You agree that any arbitration will be conducted on an individual basis and not as a class action or representative proceeding. Nothing in this section prevents either party from seeking injunctive or other equitable relief in a court of competent jurisdiction.

Severability
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue in full force and effect. The invalid or unenforceable provision will be deemed modified to the extent necessary to make it valid and enforceable.
Waiver
Our failure to enforce any right or provision of these Terms will not constitute a waiver of such right or provision. Any waiver of any provision of these Terms will be effective only if in writing and signed by catalog.fm.
Entire Agreement
These Terms, together with our Privacy Policy, the Artist Agreement (for artists), and any other policies or guidelines posted on the Service, constitute the entire agreement between you and catalog.fm regarding the Service and supersede all prior agreements and understandings.
